EXPERIENCE
Hanifa’s experience includes:
 Corporate & Mergers and Acquisitions (M&A):
○ Advised Ophir Energy PLC on contractual and competition-related matters regarding the US$1.3 billion sale of a 20% interest in Tanzanian Blocks 1, 3, and 4 to Pavilion Energy.
○ Advised African Barrick Gold PLC on contractual and competition-related matters in connection with the US$4.5 million sale of Tulawaka Gold Mine to the Tanzanian State Mining Corporation (STAMICO).
○ Advised leading financial institutions in connection with corporate governance, restructuring, and a variety of corporate matters.
○ Advised Daikin Europe N.V. on a range of contractual and competition matters in connection with the potential termination of a distribution agreement and new supply arrangements.

● Energy & Infrastructure Projects:
○ Advised Ophir Energy PLC on Tanzanian law aspects of proposed farm-out of Tanzania upstream petroleum interests, including drafting condition precedent clauses and issuing a legal opinion on Tanzanian competition regulation and seismic data ownership regime. Further advised in connection with regulatory approvals for a US$186 million takeover of Dominican Petroleum Group.
○ Conducted legal due diligence for Total and Joint Venture partners on the financing, construction, operation, maintenance, and use of a cross-border crude oil pipeline in connection with Production Sharing Agreements entered with the Government of Uganda.
○ Advised State Oil on a variety of Tanzanian law-related issues in connection with their US$10 billion Tanzanian gas commercialization project.
○ Advised City Energy & Infrastructure in connection with a 400 MW coal-based power project in a proposed JV structure with the government of Tanzania, liaising with several government stakeholders, including the Prime Minister’s office, Ministry of Energy and Minerals, and Ministry of Finance.
○ Conducted Due Diligence on Kiwira Coal Power Limited (KCPL) in connection with major coal and power investment project, involving refurbishing, restarting, and operating the assets of KCPL (including Kabulo Ridge), in a proposed JV with the Government of Tanzania.

● Banking & Finance:
○ Advised Standard Chartered (London) Bank and Swedish Export Credit Corporation (SEK) in connection with a US$31 million syndicated term loan facility to Airtel Tanzania Limited, to finance borrower’s Tanzanian telecommunications operations.
○ Advised Credit Suisse’s Dutch SPV, Eolo Investments B.V. in connection with a US$3 million loan facility to FINCA Tanzania M.F.C Limited for microfinance on-lending.

● Mining & Regulatory Compliance:
○ Advised Minerals and Metals Group (MMG) Limited on competition and mining regulatory compliance matters, in connection with a US$60 million MMG-IMX Resources Limited (IMX) Nachingwea JV earn-in and shareholders agreement.

● Commercial Contracts:
○ Advised the Tanzanian subsidiary of ThyssenKrupp AG in connection with a range of contractual matters, including the enforceability of choice of foreign law, limitation of liability, exclusion of extra-contractual rights, and liquidated damages provisions under Tanzanian law.
